Investment Support & Performance-Based Collaboration Agreement

This Agreement (“Agreement”) is entered into on this ___ day of ________, 2025, by and between:

Mr./Mrs.______ , hereinafter referred to as the “Model Developer” or “Strategy Provider”, representing AntsAMC,
AND
Mr./Mrs. [Client Name], hereinafter referred to as the “User” or “Collaborator”.

1. Purpose

✦ The Strategy Provider has developed a proprietary tool, model, or methodology (referred to as “the System”) for educational, research, or informational purposes related to financial markets.

✦ The User voluntarily uses the System to independently manage their own funds. The Strategy Provider does not directly collect or manage any capital from the User.

2. Scope of Engagement

✦ The Strategy Provider may offer signals, insights, or algorithmic strategies.

✦ The User will operate their own trading/investment account and make all decisions independently.

✦ No capital or financial instruments are handled by the Strategy Provider.

3. Contribution & Support Fees

✦ The User may voluntarily share a contribution or support fee based on their own usage experience or perceived value.

✦ Any such contribution shall not be considered a share in profits.

4. Legal Disclaimer

✦ The Strategy Provider is not a SEBI-registered Investment Adviser or Portfolio Manager, but in the process.

✦ This engagement is strictly educational and informational in nature.

✦ Nothing in this Agreement constitutes investment advice or a solicitation to invest.

5. Confidentiality

✦ The System and its logic are proprietary to the Strategy Provider.

✦ The User agrees not to disclose, copy, or commercially distribute the strategies without prior written consent.

6. Indemnity

✦ The User agrees to indemnify the Strategy Provider against any financial losses, legal claims, or disputes arising from their use of the System.

7. Jurisdiction

✦ This Agreement is governed by the laws of India, and subject to the jurisdiction of courts in Kolkata.
